Legal Notices and Terms of Use

October 23, 2026

Important: Please read these Legal Notices and Terms of Use (these “Notices and Terms”) carefully before accessing this website.

Your Engagement Letter governs your relationship with Westaway. If Westaway represents you (“You”), Your relationship with Westaway, including the scope of services, fees, payment, subscriptions, commitment periods, renewal, cancellation and refunds, is governed by Your written engagement letter or other written agreement for legal services with Westaway (an “Engagement Letter”). These Notices and Terms apply only where Your Engagement Letter is silent. If anything in these Notices and Terms conflicts with Your Engagement Letter, Your Engagement Letter controls.

These Notices and Terms create a legal agreement between You and Westaway LLC (“Westaway”) that governs: (1) the information of Westaway (the “Information”) made available through this website, our newsletters and Westaway’s artificial intelligence legal assistant (“Ace”); (2) the nature of the relationship between You and Westaway; (3) certain other matters of professional responsibility, including our use of artificial intelligence; (4) payments made through this website, including subscriptions and Engage Now purchases; and (5) Your use of this website, Ace, our client dashboard and related systems (collectively, the “Westaway Site”). By accessing any portion of the Westaway Site, You are indicating that You have read and understood, and that You assent to be bound by, these Notices and Terms, which may be amended from time to time by Westaway pursuant to the terms herein. If You do not agree to these Notices and Terms, You are not permitted to access the Westaway Site.

1. No legal advice

The Information, including general information provided by Ace, is made available for general informational purposes only, and is not intended to constitute specific legal advice or to be a substitute for advice from qualified counsel. Without limiting the foregoing, the Information may not reflect recent developments in the law, may not be complete, and may not be accurate in or applicable to Your jurisdiction. Because the Information is general in nature and may not pertain to Your specific circumstances, You should not act or refrain from acting based on any Information without first obtaining advice from professional counsel qualified in the applicable subject matter and jurisdictions.

2. No attorney-client relationship

Westaway enters into attorney-client relationships only in accordance with certain procedures, which include completing a conflict-of-interest check and entering into an Engagement Letter. You agree that Your access of the Westaway Site, Your receipt of the Information, Your use of Ace, Your submission of a web form or electronic mail to Westaway, Your booking or attendance of a free consultation, or Your completion of a purchase through the Westaway Site does not, by itself, create an attorney-client relationship between You and Westaway. An attorney-client relationship is formed only when Westaway has confirmed in writing that it has accepted the engagement.

3. Other matters of professional responsibility

3.1 Attorney Advertising. The Westaway Site is not intended to be a solicitation, but may be deemed attorney advertising in certain jurisdictions.

3.2 Confidentiality of Information You Share. Westaway treats the information and documents You share with it in connection with a potential engagement as confidential, whether or not an engagement results. This includes information You provide through Ace, our intake forms and our consultations to help us understand Your needs and prepare a quote. Information You share as a Westaway client in a matter in which Westaway represents You is also protected by Westaway’s duty of confidentiality and Your Engagement Letter. To allow Westaway to check for conflicts of interest, Westaway may ask for basic information, such as the names of the parties involved, before You share the details of Your matter. If You would like Westaway to use additional security measures for particular communications, please let us know.

3.3 Authorized Jurisdictions; Certifications. Westaway attorneys are licensed to practice law in New York, as set forth in each attorney’s biography on the Westaway Site. Except as specifically stated, no Westaway attorney is certified as a specialist in any field of law by any professional or government authority. References to areas of practice describe the areas in which Westaway practices and are not intended to indicate any professional or governmental certification.

3.4 Principal Office; Responsible Attorney. Westaway’s principal office is in Brooklyn, New York. Westaway’s responsible attorney for the Westaway Site is Kyle Westaway, Managing Partner, who may be contacted through the contact page at westaway.com/contact.

3.5 No Warranty of Results. Prior results do not guarantee a similar outcome. The Information may contain case studies, client testimonials, transaction values, amounts of capital raised and other descriptions of matters in which Westaway represented its clients. The results of these matters were dependent on their specific circumstances, and are in no way intended to be predictive of future results, even in similar circumstances, or offer any type of guarantee or assurance of outcome. Testimonials reflect the individual experiences of the clients who gave them. Names and logos of investors, counterparties and other companies may appear on the Westaway Site to describe the investors that have backed Westaway’s clients or the companies with which its clients have done business; their appearance does not indicate that those companies are Westaway clients or that they endorse Westaway.

3.6 Non-Lawyer Team Members; Scope of Practice. Some members of Westaway’s team, including paralegals and business development staff, are not lawyers. They do not give legal advice, and their work on client matters is supervised by Westaway attorneys. Westaway provides transactional and advisory legal services and does not provide litigation services.

3.7 Fee Disputes. If You are a Westaway client and a dispute about fees arises, You may have the right to arbitrate it under Part 137 of the Rules of the Chief Administrator of the Courts (22 NYCRR Part 137). Nothing in these Notices and Terms limits that right.

4. Use of artificial intelligence

4.1 Our Approach. Westaway is a law firm that applies the latest technology to the practice of law. Westaway uses generative artificial intelligence (“AI”) tools to gather context, organize information, prepare first drafts, review documents and handle other legwork, so its attorneys can focus on judgment and strategy. AI does not practice law at Westaway. A licensed Westaway attorney reviews, validates and is responsible for all legal advice and work product Westaway delivers to clients, regardless of the tools used to produce it.

4.2 Confidentiality. Confidential information remains protected whether or not AI tools are used. Westaway uses AI tools only under business or enterprise terms that prohibit the provider from training its models on Your information and that limit the provider’s use and retention of that information to what is needed to provide the service, keep it secure and comply with law. Westaway does not enter confidential information into consumer AI tools that train on user inputs, does not use Your confidential information to train AI models, and does not disclose one client’s confidential information to another client.

4.3 Fees. Westaway’s flat fees are set by the scope of the work, not by the time it takes or the tools used. Westaway does not charge separately for its use of AI tools.

4.4 Ace. Ace provides general legal information, helps Westaway understand Your needs and prepare a quote, and supports onboarding once You engage Westaway. Information You share with Ace is treated as confidential under Section 3.2 and protected as described in Section 4.2, and Westaway uses Ace conversations only to respond to You, prepare Your quote, carry out Your engagement and improve Ace. Ace is not a lawyer, and Your use of Ace does not, by itself, create an attorney-client relationship. Ace may produce general information that is inaccurate, incomplete or not applicable to Your jurisdiction, and Westaway makes no representation as to its accuracy; legal advice comes only from a Westaway attorney under an Engagement Letter.

5. Payments, subscriptions and Engage Now

5.1 Payment Processing. Westaway uses Stripe, Inc. (“Stripe”) to process payments. You provide Your payment information directly to Stripe, and Stripe’s terms and privacy policy apply to it. Westaway does not store full card or bank account numbers. By providing a payment method, You confirm that You are authorized to use it (and, if You are paying on behalf of a company, to bind that company), and You authorize Westaway, and Stripe on its behalf, to charge it for the amounts set out at checkout or in Your Engagement Letter and to store it for that purpose. Unless Your Engagement Letter provides otherwise, fees are paid in full in U.S. dollars before work begins.

5.2 Subscriptions. Westaway offers certain services on a recurring subscription basis (each, a “Subscription”). By purchasing a Subscription, You authorize Westaway to charge the Subscription fee in advance to Your payment method on file for each billing period, without further approval for each charge, until Your Subscription ends in accordance with Your Engagement Letter.

5.3 Engage Now. Engage Now allows You to purchase certain flat-fee legal services directly through the Westaway Site. Before You pay, Westaway will present the Engagement Letter for that service, and by completing Your purchase You accept it. For engagements You accept online through Engage Now, Your payment starts the engagement, and Westaway then completes its conflict-of-interest check. If a conflict arises, Westaway will let You know within 24 hours. If Westaway cannot accept the engagement for any reason, it will tell You and refund Your payment in full. If You purchase on behalf of a company, the company, and not its founders, officers or investors individually, is Westaway’s client unless Westaway agrees otherwise in writing.

6. Privacy

Westaway’s collection, use and disclosure of information submitted or collected through the Westaway Site is described in its Privacy Policy, available at westaway.com/privacy, which is incorporated into these Notices and Terms. Nothing in the Privacy Policy permits Westaway to use or disclose confidential information in a way the rules of professional conduct do not allow. The Privacy Policy does not pertain to, and Westaway is not responsible for the privacy practices of, any third-party websites to which the Westaway Site links.

7. General terms of use

7.1 Prohibited Uses. You will not use the Westaway Site in violation of any applicable law. Without limiting the foregoing, You will not use the Westaway Site in connection with (a) the infringement of intellectual property rights, including Westaway’s rights in its marks, articles, guides and templates; (b) the unauthorized transmission of unsolicited commercial electronic mail; (c) the transmission of defamatory materials; (d) fraud; (e) scraping or automated collection of content, other than standard search engine indexing; or (f) attempts to extract Ace’s instructions, circumvent its safeguards or use it to build a competing product. You will not violate, attempt to violate, or knowingly facilitate the violation of the security (including access control or authentication systems) or integrity of the Westaway Site. If You have an account, including on Westaway’s client dashboard, You are responsible for keeping Your credentials confidential.

7.2 Copyright in Information. The Westaway Site, including the Information, is protected by United States and international copyright laws. All rights are reserved. Subject to these Notices and Terms, Westaway grants to You a limited, nonexclusive, personal license to access, view, download and print the Information solely for noncommercial and informational purposes, or, for templates and guides Westaway makes available for that purpose, for Your internal business use. You may not remove or obscure any copyright or permission notices provided on or in connection with the Information. Westaway does not grant to You any rights in its marks. You are free to hyperlink to any page in the publicly available pages of the Westaway Site; provided, however, that You agree to remove any such hyperlink upon Westaway’s written request. Ownership of work product Westaway prepares for a client is governed by the client’s Engagement Letter.

7.3 Electronic Communications. You consent to receive communications, agreements and notices from Westaway electronically, and You agree that they satisfy any requirement that they be in writing and that electronic signatures and records may be used. You agree to cease sending electronic mail to any Westaway address upon Westaway’s request.

7.4 No Warranties. The Westaway Site, including Ace, is provided to You “as is.” Your access and use of the Westaway Site is at Your own risk. To the extent permitted by the law and rules of professional responsibility in the applicable jurisdiction, Westaway disclaims all conditions, representations and warranties, express, implied, statutory or otherwise, including any warranties of merchantability, fitness for a particular purpose, title, accuracy of informational content, system integration, non-infringement of third-party rights, quiet enjoyment, and uninterrupted or error-free operation. This Section 7.4 does not apply to legal services Westaway provides to a client under an Engagement Letter.

7.5 Disclaimer of Liability. To the extent permitted by the law and rules of professional responsibility in the applicable jurisdiction, Westaway disclaims liability for any lost profits or income, lost business, or lost data, or for any consequential, indirect, exemplary, punitive, special, or incidental damages arising from or relating to the Westaway Site. This Section 7.5 does not apply to legal services Westaway provides to a client under an Engagement Letter, and nothing in these Notices and Terms limits Westaway’s liability to a client in any way the rules of professional conduct do not permit.

7.6 Third-Party Information and Services. Westaway may hyperlink to or otherwise make third-party information available on the Westaway Site, and relies on third-party providers for services such as payments, scheduling, e-signature and its client dashboard, whose own terms apply to Your use of them. Third-party information is made available solely for convenience, and Westaway does not endorse or approve of any such third-party information or such third parties.

7.7 California Users. If a complaint is not satisfactorily resolved, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254.

7.8 Miscellaneous. You agree that any dispute arising out of or in connection with the Westaway Site or these Notices and Terms will be governed by the laws of the State of New York without reference to conflict of laws principles that would require the application of the laws of any other jurisdiction, and, except for fee disputes You elect to arbitrate under Section 3.7 or disputes governed by Your Engagement Letter, You submit to the exclusive jurisdiction and venue of the state and federal courts located in Kings County, New York. Westaway may amend these Notices and Terms by posting a revised version on the Westaway Site, effective on posting; no amendment changes an Engagement Letter You have already accepted unless You agree. In the event that You gain access to information not intended to be accessed by You, You agree that You will immediately notify Westaway and lawfully destroy all copies of such information in Your possession. Westaway may be contacted through the contact page at westaway.com/contact.
